1. Acceptance of Terms

By creating an account, clicking to accept, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility and Accounts

• You must be legally capable of entering into a binding contract to use the Services.
• You are responsible for account activity, safeguarding credentials, and promptly notifying us of unauthorized use.
• You must provide accurate information and keep your account data updated.
• We may require email verification, identity checks, or additional verification steps to protect the platform.

3. BreedersPlace Platform and Tenant Model

BreedersPlace is a multi-tenant software platform used to power breeder websites, administrative dashboards, and marketplace publishing flows. We may provide account access across BreedersPlace-operated domains and breeder domains powered by our platform.

Access and permissions may vary by account role (for example, system and tenant roles). You may only access data and features that your account is authorized to use.

4. Subscriptions, Billing, and Payments

• Certain Services require a paid subscription and may include different plan options, billing intervals, and feature limits.
• Unless otherwise stated for your plan, subscriptions renew automatically until canceled.
• You authorize us and our payment processors to charge applicable fees, taxes, and related amounts.
• Except where required by law, fees are non-refundable and partial billing periods are not prorated.
• We may suspend or limit paid features for failed payments or delinquent accounts.

5. Acceptable Use

You agree not to:

• violate any applicable law, regulation, or third-party right;
• upload, publish, or transmit unlawful, fraudulent, defamatory, harassing, or deceptive content;
• attempt to gain unauthorized access to accounts, data, or infrastructure;
• disrupt the platform, interfere with security controls, or introduce malicious code;
• automate abusive scraping, traffic, or actions that burden or degrade the Services;
• use the Services to spam or message individuals without required consent.

6. Breeder Responsibilities and Compliance

If you are a breeder, tenant administrator, or acting on behalf of a breeder business, you are responsible for:

• the legality, accuracy, and completeness of listings, media, forms, and customer communications;
• compliance with laws applicable to animal sales, consumer protection, advertising, privacy, electronic messaging, and recordkeeping;
• obtaining and maintaining rights and permissions for content, images, trademarks, and data uploaded to the Services; and
• managing your own customer agreements, fulfillment, pricing, and delivery commitments.

BreedersPlace provides software and infrastructure. We are not a veterinary provider, legal advisor, escrow provider, or broker of animal sales.

7. Marketplace and Sales Relationship

Marketplace features are intended to help breeders present listings and connect with potential buyers. Unless explicitly stated in a separate written agreement, BreedersPlace is not the seller of listed animals and does not take title to, custody of, or responsibility for breeder transactions between breeders and customers.

BreedersPlace does not take a commission on breeder sales unless we clearly introduce and disclose a separate program with updated terms.

8. User Content and License

You retain ownership of content you submit to the Services ("User Content"). You grant BreedersPlace a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, display, distribute, and process User Content as needed to operate, secure, improve, and provide the Services.

You represent that you have all rights required to submit User Content and grant this license.

9. Communications (Email, SMS, and Notifications)

You agree that we may send service, transactional, legal, and account-related communications by email, in-app notice, or other reasonable methods.

If you use messaging features to contact customers, you are solely responsible for obtaining legally required consent and honoring opt-out requests. Messaging rates from carriers may apply.

10. Intellectual Property

The Services, including software, design, trademarks, branding, and documentation (excluding User Content), are owned by BreedersPlace and its licensors and are protected by intellectual property laws.

Subject to these Terms, we grant you a limited, revocable, non-transferable, non-exclusive right to use the Services for your internal business or personal use, as applicable.

11. Third-Party Services

The Services may integrate with or rely on third-party services (for example, auth, billing, infrastructure, analytics, domain providers, messaging, and email providers). Your use of third-party services is subject to their terms and policies, and BreedersPlace is not responsible for third-party products or services.

12. Beta Features and Future Functionality

We may offer features labeled alpha, beta, preview, experimental, or similar. These features may be incomplete, changed, interrupted, or removed at any time.

References to planned or roadmap functionality are informational only and do not create a binding commitment to deliver specific features, timelines, or service levels.

13. Suspension and Termination

We may suspend, restrict, or terminate access to all or part of the Services if we reasonably believe you violated these Terms, created security or legal risk, failed to pay applicable fees, or misused the platform.

You may stop using the Services at any time. Termination does not relieve you of obligations accrued prior to termination, including payment obligations.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant uninterrupted operation, error-free performance, specific search ranking, specific marketplace outcomes, or specific business results.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BREEDERSPLACE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $100.

16. Indemnification

You agree to defend, indemnify, and hold harmless BreedersPlace and its affiliates, officers, employees, agents, and licensors from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your User Content, or your violation of these Terms or applicable law.

17. Governing Law and Disputes

These Terms are governed by applicable law in the jurisdiction where BreedersPlace is established, without regard to conflict-of-laws principles, except where mandatory law requires otherwise. You and BreedersPlace agree to resolve disputes in courts of competent jurisdiction unless an alternative dispute process is required by law or agreed in writing.

18. Changes to Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. If changes are material, we may provide additional notice through the Services or by direct communication. Your continued use of the Services after updated Terms become effective constitutes acceptance of those updated Terms.

19. Miscellaneous

• If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
• Our failure to enforce any provision is not a waiver of future enforcement.
• You may not assign these Terms without our prior written consent, and any unauthorized assignment is void.
• These Terms, together with incorporated policies, are the entire agreement between you and BreedersPlace regarding the Services.
